Terms of Service
Effective date: October 8, 2026
These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“Customer,” “you”) and The Seattle Compute Company, a Washington business (“Company,” “we,” “us”), governing access to and use of the Smith — The Agent Office platform, including all associated websites, application programming interfaces, software, and documentation (collectively, the “Service”). BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you are entering into these Terms on behalf of an entity, you represent and warrant that you have authority to bind that entity.
1. Definitions
- “Agent” means an autonomous or semi-autonomous software worker, provisioned within the Service, that executes tasks on Customer’s behalf using artificial-intelligence models, a sandboxed compute environment, and Customer-authorized integrations.
- “Customer Data” means all data, content, credentials, messages, files, and instructions that Customer or its Authorized Users submit to, or that Agents process or generate through, the Service.
- “Authorized User” means an individual granted access to Customer’s organization within the Service.
- “Output” means any content, action, communication, or work product generated by an Agent.
- “Third-Party Services” means services not operated by Company, including Slack, email providers, model providers, and any tool or website an Agent is directed to use.
2. Eligibility; Accounts; Verification
You must be at least eighteen (18) years of age and capable of forming a binding contract. You shall provide accurate, current, and complete registration information, and shall verify ownership of the email address associated with your account. Certain functionality, including provisioning Agents and inviting Authorized Users, is conditioned upon completion of email verification. You are solely responsible for safeguarding your credentials and for all activity occurring under your account, whether or not authorized by you. You shall notify us promptly of any unauthorized use.
3. License Grant; Restrictions
Subject to these Terms and payment of any applicable fees, Company grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the Term to access and use the Service for Customer’s internal business purposes. Customer shall not, and shall not permit any third party to: (a) reverse engineer, decompile, or attempt to derive source code from the Service; (b) circumvent or probe any rate limit, quota, security, or suspension mechanism; (c) use the Service to build a competing product; (d) resell or provide the Service to third parties as a service bureau; or (e) interfere with or disrupt the integrity or performance of the Service or the data contained therein.
4. Acceptable Use; Agent Conduct
Customer is the principal for, and bears sole responsibility and liability for, the instructions given to, and the acts and omissions of, its Agents. Customer shall not direct any Agent to: (a) violate any applicable law, regulation, or third-party right; (b) send unsolicited bulk, deceptive, or harassing communications, or otherwise violate anti-spam law; (c) create accounts, solve CAPTCHAs, or access any website, service, or system in violation of that party’s terms or in a manner designed to evade security controls, bot-detection, or access restrictions without authorization; (d) access any account, system, or data without authorization; (e) generate or distribute malware, or engage in fraud, phishing, or impersonation; (f) process data subject to regimes such as HIPAA or PCI-DSS, absent a written agreement with Company; or (g) engage in any activity that is unlawful, infringing, defamatory, or harmful. Company may impose usage limits (including limits on the number of Agents, agent turns, and request rates) and may suspend or restrict any organization, in whole or in part, with or without notice, where Company reasonably believes this section has been or may be violated, or where necessary to protect the Service or any person.
5. Artificial Intelligence; Output
THE SERVICE EMPLOYS PROBABILISTIC MACHINE-LEARNING MODELS. OUTPUT MAY BE INACCURATE, INCOMPLETE, OFFENSIVE, OR INAPPROPRIATE, AND AGENTS MAY TAKE ACTIONS THAT ARE UNINTENDED OR IRREVERSIBLE (INCLUDING SENDING COMMUNICATIONS AND MODIFYING DATA IN CONNECTED SYSTEMS). Customer acknowledges that it is responsible for configuring appropriate permissions, reviewing Output, and implementing human oversight proportionate to the risk of its use case. Company makes no representation that Output is accurate, lawful, or fit for any purpose. As between the parties, and to the extent permitted by law and by the applicable model providers’ terms, Customer owns Output, subject to Company’s underlying rights and third-party rights.
6. Customer Data; Credentials
As between the parties, Customer retains all right, title, and interest in Customer Data. Customer grants Company and its subprocessors a non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, and display Customer Data solely as necessary to provide, secure, and support the Service and as described in the Privacy Policy. Customer represents and warrants that it has all rights and consents necessary to submit Customer Data and to authorize Agents to access any third-party account, and that it will provide credentials to an Agent only for accounts it is entitled to delegate. Customer is solely responsible for the consequences of delegating access to any account.
7. Third-Party Services
The Service interoperates with Third-Party Services. Company does not control and is not responsible for such services, and Customer’s use thereof is governed by the applicable third-party terms. Interruption, modification, or discontinuation of a Third-Party Service shall not constitute a breach by Company.
8. Fees; Taxes
Fees, if any, shall be as set forth in the applicable order, plan, or invoice. Except as expressly stated, fees are non-cancellable and non-refundable, exclusive of taxes, and payable in U.S. dollars. Company reserves the right to modify pricing prospectively upon notice. Pass-through costs of Customer-supplied model or compute credentials are Customer’s responsibility.
9. Intellectual Property; Feedback
The Service, including all software, models configurations, designs, and documentation, and all intellectual property rights therein, are and shall remain the exclusive property of Company and its licensors. No rights are granted except as expressly set forth herein. Customer grants Company a perpetual, irrevocable, worldwide, royalty-free license to use any suggestions or feedback relating to the Service without obligation.
10. Confidentiality
Each party shall protect the other’s non-public information disclosed in connection with the Service using at least reasonable care, shall use it solely to perform or exercise rights under these Terms, and shall not disclose it except to personnel and advisors bound by equivalent obligations or as compelled by law (with prompt notice where lawful). Customer Data is Customer’s confidential information.
11. Term; Suspension; Termination
These Terms commence upon your acceptance and continue until terminated. Customer may terminate at any time by deleting its organization within the Service. Company may suspend or terminate access immediately upon notice for breach, for non-payment, to comply with law, or to mitigate risk to the Service. Upon termination, Customer’s right to use the Service ceases, and Company will delete or de-identify Customer Data in accordance with the Privacy Policy and its retention practices. Sections 5, 6 (as to Customer’s warranties), 9, 10, 12 through 16 survive termination.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. COMPANY DOES NOT WARRANT THAT THE SERVICE OR ANY OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY THEREOF. COMPANY’S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY CUSTOMER TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
14. Indemnification
Customer shall defend, indemnify, and hold harmless Company and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Customer Data; (b) the instructions given to, or acts or omissions of, Customer’s Agents; (c) Customer’s breach of these Terms; or (d) Customer’s violation of applicable law or third-party rights.
15. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Except for claims for injunctive or equitable relief concerning intellectual property or confidentiality, any dispute arising out of or relating to these Terms or the Service shall be finally resolved by binding individual arbitration administered in King County, Washington, under the rules of the American Arbitration Association then in effect. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Subject to the foregoing, the state and federal courts located in King County, Washington shall have exclusive jurisdiction, and each party consents to such jurisdiction and venue.
16. General
These Terms, together with the Privacy Policy and any order or plan, constitute the entire agreement between the parties regarding the Service and supersede all prior understandings. If any provision is held unenforceable, it shall be limited to the minimum extent necessary and the remainder shall continue in effect. Failure to enforce any right is not a waiver. Customer may not assign these Terms without Company’s prior written consent; Company may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure (other than payment) caused by events beyond its reasonable control, including outages of infrastructure, model, or network providers. Company may modify these Terms by posting an updated version and, for material changes, providing notice; continued use after the effective date constitutes acceptance.
